Terms of Use

1. Introduction
These Terms of Use (“Terms”) are a legal agreement between you (“User,” “you,” or “your”) and:
- MyVitalRx Health Inc., a company incorporated in the United States; and
- MyVitalRx Health Private Limited, a company incorporated in India,
(collectively, “MyVitalRx,” “we,” “our,” or “us”), governing your access to and use of:
- The MyVitalRx mobile application (“App”)
- The MyVitalRx.com web portal for healthcare professionals, hospitals, laboratories, dieticians, pharmacists, and other authorized entities
- Any related websites, APIs, integrations, or services provided by MyVitalRx (together, the “Services”)
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must stop using the Services.
If you use the Services on behalf of another person (such as a patient, minor, or family member) or an entity (such as a hospital or clinic), you represent that you are authorized to accept these Terms on their behalf.
2. Eligibility and User Roles
2.1 Age and Residency
- In India, you must be at least 18 years old to use the Services independently.
- In the United States, you must be at least 13 years old with verified parental consent, and 18 years old for independent use.
2.2 User Roles Covered
These Terms apply to:
- Patients using the Services for healthcare access and records
- Friends/family/authorized individuals managing a patient’s care
- Healthcare providers (doctors, dieticians, therapists)
- Pharmacists
- Laboratory and imaging center staff
- Hospital and clinic administrators
2.3 Verification
Certain roles require professional or identity verification before full access is granted (e.g., provider license checks, pharmacist registration validation).
3. Account Registration and Security
- You must provide accurate and complete registration information and keep it updated.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- Multi-factor authentication (MFA) is required for healthcare providers, pharmacists, and admin accounts.
- If your account is compromised, you must notify us immediately.
4. Services Provided
Our Services may include:
- Telehealth consultations via text, audio, or video
- Electronic Medical Records (EMR) creation, storage, and access
- E-prescription creation, transmission, and tracking
- Remote Patient Monitoring (RPM) using connected medical devices
- Integration with third-party health and fitness platforms (Apple Health, Google Fit, Garmin, Fitbit, etc.)
- Diagnostics ordering and results delivery from partner labs
- Pharmacy prescription fulfillment integration
- Scheduling consultations and procedures
We are not a substitute for emergency medical care. In an emergency, call local emergency services.
5. User Responsibilities
All Users must:
- Use the Services only for lawful purposes and in compliance with applicable laws.
- Not create fraudulent records or prescriptions.
- Not interfere with platform operation, security, or access controls.
- Respect the privacy and confidentiality of all users’ data.
- Ensure that payment information provided is accurate and that you are authorized to use the selected payment method
Role-specific obligations:
- Patients & Authorized Individuals: Provide accurate health data, use RPM devices as instructed.
- Healthcare Providers: Ensure EMR and prescriptions are accurate, comply with medical regulations (HIPAA, DPDP Act, etc.).
- Pharmacists: Verify prescription authenticity before dispensing.
- Lab Staff: Ensure accuracy of test results and secure upload to EMR.
6. Third-Party Integrations
If you connect to Apple Health, Google Fit, Garmin, or similar services:
- You control the data shared with us and can revoke access at any time.
- We are not responsible for the accuracy or availability of third-party data
- Your use of third-party integrations is subject to their terms and privacy policies.
7. Payments and Refunds
- Payment terms will be displayed before you confirm a purchase (e.g., consultation fees, subscriptions, device purchases).
- We use third-party payment processors, including RazorPay, to process payments. By making a payment through the Services, you agree to be bound by the terms and conditions and privacy policies of such payment processors.
- MyVitalRx does not act as a payment intermediary or financial institution and is not responsible for processing or settlement of transactions.
- We do not store your card details, net banking credentials, or other sensitive payment information on our systems. Such data is collected and processed directly by the payment gateway provider.
- We are not responsible for payment failures, transaction errors, or delays caused by payment processors, banks, or network issues.
- By initiating a payment, you authorize us and our payment service providers to charge the applicable fees to your selected payment method.
- All payment transactions are subject to validation checks and authorization by the payment gateway provider and your issuing bank.
- Fees are charged in the currency shown and may be subject to taxes.
- Refunds, where applicable, will follow our published refund policy.
- Any disputes related to payments must first be raised with us. Chargebacks or disputes initiated directly through banks or payment providers may result in temporary suspension of Services until the issue is resolved.
8. Intellectual Property
- All software, branding, and platform content are owned or licensed by MyVitalRx.
- Patient medical data remains the property of the patient, but you grant MyVitalRx a license to store, process, and transmit it as needed for service delivery.
- You may not copy, modify, or distribute our content without permission.
9. Disclaimers
- Services are provided “as is” without warranties of any kind.
- Telehealth and RPM have limitations and may not replace in-person care.
- Device-generated data accuracy depends on calibration, usage, and third-party platform availability.
10. Limitation of Liability
To the fullest extent permitted by law:
- MyVitalRx is not liable for indirect, incidental, or consequential damages.
- MyVitalRx is not liable for any issues arising from payment processing, including transaction failures, delays, unauthorized transactions, or disputes handled by third-party payment providers.
- Our total liability will not exceed the amount you paid for the Services in the 12 months preceding the claim, or, if no fees were paid, a reasonable nominal amount permitted under applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless MyVitalRx, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- a. your use or misuse of the Services.
- b. your violation of these Terms or applicable laws.
- c. any disputes, chargebacks, or payment-related claims arising from your use of payment methods.
- d. any data, information, or content submitted by you through the Services.
12. Termination
We may suspend or terminate your account if you:
- Violate these Terms or applicable laws
- Engage in fraudulent or harmful activity
- Failure to maintain required verification for your role
Some data (e.g., EMR) may be retained as required by law even after account closure.
13. Governing Law and Jurisdiction
- United States Users: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Delaware, USA.
- India Users: These Terms shall be governed by and construed in accordance with the laws of India. The courts located in Chandigarh, India shall have exclusive jurisdiction over any disputes.
- Other Users: For users located outside the United States and India, these Terms shall be governed by the laws of the State of Delaware, USA, and disputes shall be subject to the jurisdiction of the courts of Delaware, USA.
14. Changes to Terms
We may update these Terms from time to time.
- Minor updates will be reflected in the “Last Updated” date.
- Material changes will be communicated via email, in-app notification, or website notice.
- Continued use after updates means you accept the changes.
